I am a summer articling student at a corporate law firm in Vancouver. My most recent task has been to conduct some research regarding a corporate governance issue. First, I may not have found the correct website, in which case please disregard the following. However, I hope someone can shed some light on my problem.

The particular issue I am researching relates to standard practice public corporations follow when minuting directors' meetings. More specifically, I am searching for variations that exist for having directors (other than the secretary and chair) review the minutes of the previous meeting. For instance, one method I am aware of is to have the directors review the minutes immediately after the secretary and chair. Now, a variation of that would have the minutes circulated with the next meeting package, rather than immediately after the previous meeting. Is this acceptable or common practice? So, basically my question is what variations exist for the minuting and approval of those minutes.

If someone can provide any type of reference or avenues I might consider in my research it would be much appreciated.

Thank You,
Evan Johnston
