I can't think of a better guide to the subject than Kevin Keasey, Steve Thompson and Mike Wright's Corporate Governance. This four volume set published in 1999 by Edward Elgar Publishing is a ready reference to classic writings in the field and is sure to be accessed frequently by owners who wake up in the middle of the night with corporate governance concerns. The four volume "book" places the movement in context, addresses accountability and performance, considers the efficacy of various stakeholders and institutional structures and integrates writings from numerous disciplines. It sure beats running to the library when someone calls and mentions that seminal work from an Academy of Management Journal in 1991. I can't say that I've read this set thoroughly but I have ambitions and look forward to the challenge. I would have liked to have seen additional chapters by M. Blair, Monks, Minow, Tricker and others but the authors had to leave something undone, perhaps for the next edition?

Chainsaw, John Byrne's thrilling nonfiction version of Mean Business yields no salvation for Al Dunlap, but shareholders might find redemption. Though hundreds of interviews, Byrne has done an excellent job of documenting what really happened and how intelligent investors and directors got snookered by the bellicose former CEO of Sunbeam.

Another interesting and popular book is The Millionaire Next Door: Special Edition by Thomas J. Stanley and William D. Danko.

    Dye, Bob, Merchant Prince of the Sandalwood Mountains: Afong and the Chinese in Hawaii, University of Hawaii Press, 1997. No, its not a treatise on corporate governance. The book is about my great great grandfather-in-law, his remarkable family and how he made his fortune. The author, well known for writings on Hawaii, took several years of painstaking research, interviewed many family members, and traveled extensively to research this biography. Dye's portrait gives life to a noble man where previous writings, such as those of Jack London and a Broadway play, presented mere caricatures. Afong played a pivotal role in keeping Hawaii independent from US annexation for a time and fought against disenfranchisement of the Chinese population in Hawaii. When cries of "Yellow Peril" overwhelmed those seeking harmony among the races, Afong left his wife and most of his 16 children and returned to China with his son Toney (my wife's great grandfather) who continued the political struggle for democracy in China. Take a break from your readings on corporate governance and buy Merchant Prince of the Sandalwood Mountains in hardback or paperback.
