The Corporate Governance Analyst position will perform duties housed within the SBA’s Investment Programs & Governance unit, covering record-keeping and reporting on all public equity shareowner proxies for annual and special shareowner meetings and related topics.
As part of the State Board of Administration’s (SBA) mission to invest, manage and safeguard the assets of its various mandates, the SBA plays a vital role in supporting initiatives to ensure that public companies meet high standards of independent and ethical corporate governance. The SBA acts as a strong advocate and fiduciary for Florida Retirement System (FRS) members and beneficiaries, retirees, and other non-pension clients to strengthen shareowner rights and promote leading corporate governance practices at U.S. and international companies in which the SBA holds stock. The SBA’s corporate governance activities are focused on enhancing share value and ensuring that public companies are accountable to their shareowners with independent boards of directors, transparent disclosures, accurate financial reporting, and ethical business practices designed to protect the SBA’s investments.
The Corporate Governance Analyst will be responsible for policy development, governance research, assistance with company engagement, and proxy voting decision making. Experience in evaluating the corporate governance structures or other business, financial and legal issues is preferred. The position will assist with coordinating activities with other institutional investors, regulatory agencies and other stakeholder groups on various corporate governance topics. The Corporate Governance Analyst will also provide assistance on other SBA client mandates and investment programs including client service functions, reporting, and account administration.
Job Responsibilities
35% Policy development, research and company engagement related to various corporate governance issues. Evaluation of corporate governance structures and other focused analysis in conjunction with SBA shareowner initiatives. As necessary, coordination with other institutional investors, regulatory agencies and other stakeholder groups on various governance topics.
35% Conduct voting, record keeping and reporting on all public equity shareowner proxies for annual and special meetings. Analyze data from corporate governance research services and consultants to monitor and make voting decisions.
25% Client service functions for non pension mandates, such as the Florida Prime and other accounts, including client reporting, communications and administration.
05% Assist Senior Officer Investment Program & Governance on shareowner initiatives and other special projects as needed.
Desired Skills and Experience
Qualifications: A bachelor’s degree from an accredited college or university with a major in finance, economics, statistics, accounting, mathematics, business, political science or public administration and one year of experience in related field or a masters degree.
Related professional experience in respective field may be substituted on a year for year basis for the required college education.
POSITION PREFERENCES: Preferences will be given to applicants with the following experience: analyzing financial and qualitative data, corporate finance issues and/or publicly traded equity markets
