Save Annual Meetings: Background

The SEC is considering a rule that would allow closed-end funds to skip their annual shareholder meetings. This would weaken investor oversight and accountability. You may not own closed-end funds, but if they take away the requirement for them to hold annual meetings, publicly traded corporations could be next. The proposed amendment is contained in a single sentence.

  • Legislative Intent: Congress designed the Investment Company Act of 1940 to protect investors through regular, face-to-face forums for oversight and director elections.
  • Comparative Evidence: Closed-end funds, unlike open-end funds, trade at discounts or premiums, making strong governance and regular communication with shareholders even more critical.
  • Empirical Data: Funds with traditional annual meetings show tighter pricing, higher rates of successful shareholder proposals, and stronger director accountability.
  • Legal Precedent: Courts have repeatedly emphasized that regular, documented meetings are essential for maintaining limited liability protections and upholding fiduciary duties.

  •  Maintain mandatory annual meetings for closed-end funds to preserve transparency and investor protection.
  • Adopt hybrid meeting formats (in-person + virtual) to maximize participation and engagement.
  • Strengthen documentation and voting procedures to ensure fair and transparent decision-making.
  • Continue stakeholder dialogue and commission further research on the impact of meeting formats on fund performance.

Save Annual Meetings: How to Submit Comments

Submit Comments on SR-NYSE-2025-20. The SEC and NYSE are poised to eliminate the requirement that closed-end funds hold an annual meeting. Next, it could be all corporations.

The last day to submit comments is July 8. Here is the link to the proposed rule change (SR-NYSE-2025-20).  Look for Release Number 34-103244. View submitted comments. Mine weren’t up yet on July 7.
